| 01. | Our offer and catalog prices are not-binding. Orders are only considered as accepted if a written confirmation is present. If cost increases occur between a quotation and an order entrance, we are entitled to a price correction. Contracts are binding only if they are closed between SCHILD Flaggen Store GmbH. Altenholz and the customer. Other persons are not authorized. The prices specified in the offers are always addtional to the packing and transport costs as well as the valid legal taxes. Exceptions must be documented in the quotation. |

Deliveries wil be sent from Altenholz, at the the customers risk, with an invoice. So long as no other agreements are previously met, deliveries will be made with carriers of our choice. |

The payment of the invoice amount should be made in full within 10 days, that is, if no other agreement exists. The buyer is not entitled to shortening or holding back the purchase price. In the case of these terms not being met, we are entitled to add appropriate interest. |

Small orders under € 150.00 can be bought by cash on delivery or cash in advance. These orders will be sent at the expense of the orderer. Cash payments may be made if the order is picked up at the factory. |

In the case of recieving customer templates, we commit ourselves to reproduce these in the best possible way. Small deviations in representation and color, due to the technical possibilities in tarp and cloth printing as well as the different color loss with various base materials are possible. Therefore a normal delivery will also be made with such small deviations. The orderer is reponsible for possible injury of author and patent rights. |

Specially made designs, representations, silk-screens etc. remain in our property, even if the orderer for it carried a share of the costs. With follow-up orders these will be at the customers diposal without being charged again. |

Measuring differences within the customary industrial tolerance of +/- 10% are permissible.. |

Excess or short deliveries of +/- 10% are for the same reason to be recognized. They will be likewise considered in the invoice and are simultaneously a component of the agreement. |

Objections are to be submitted within eight days after receipt of the commodity. This applies also to outwardly not recognizable defects. After the expiration of this period, the commodity is deemed to be accepted. The warranty for defects is limited to rework or to free replacements within an appropriate period. Reclamations after further processing or use are inadmissible in each case. |

In supply of flagpoles we do not take over any liability on statics, mounting and/or underground fastening. Whether the technical facilities for the assembly of the ordered masts are present, lies in the discretion of the customer. |

The designated date of delivery is not binding. We cannot be held liable for circumstances in which, we have no control of and therfore retard or prevent the production and supply. To these circumstances count also changes as well as the absence of documents and designs. The date of delivery is the dispatch date from the factory! In the case of a possible delay, threre is no entitlement to payment of damages, non-acceptance, or cancelation of the contract. |

SCHILD Flaggen – Store GmbH is justified to a partial delivery, which leads in each case for itself to obligation of payment. |

The supplied commodity remains, up to the complete payment, our property. Checks and exchanges are accepted under the usual reservations and are considered as a provisional payment fulfilment. The commodity may not be pawned, nor be used as collateral. Upon resale of the commodity, the purchase claim is transferred, for safety's sake, from another party to us. Any transfer is deemed already as accepted by these general trading conditions. |

For all contractual disputes, the rights of the Federal Republic of Germany will be applied. |

|
Place of delivery and payment for the services is Altenholz. The jurisdictional area is Kiel. |
